Resolutions Passed at the Extraordinary General Meeting of Shareholders of UWC
PJSC “RPC “United Wagon Company” (“RPC UWC” or the “Company”) (MOEX: UWGN) announces the resolutions taken at the Extraordinary General Meeting of the Company’s Shareholders held on 19 March 2018.
It was resolved that
- The following major transaction, an aggregate of the interrelated transactions listed below, be approved:
- The Suretyship Agreement dated 25 January 2018 with Public Joint Stock Company “State transport leasing company” (STLC) executed for the purposes of securing the obligations of “TH “UWC” LLC under the hopper car Supply Contract with STLC dated 25 January 2018
- The Suretyship Agreement dated 31 January 2018 with STLC executed for the purposes of securing the obligations of “TH “UWC” LLC under the gondola car Supply Contract with STLC dated 31 January 2018
- The following major transaction be approved: a suretyship agreement (agreements) with STLC to be executed for the purposes of securing the obligations of “TH “UWC” LLC or «UWC TP» LLC under their future railcar supply contracts with STLC
