Results of the Extraordinary General Meeting of Shareholders of RPC UWC

RPC “United Wagon Company” PJSC (“RPC UWC” or “the Company”) (MOEX: UWGN) announces the decisions reached at the Company’s Extraordinary General Meeting of Shareholders (the “EGM”) held on December 24, 2015.

At the meeting, it was resolved as follows:

• That the following related-party transaction be approved: Surety Agreement dated 25/05/2015 by and between Research and production corporation “United Wagon Company” PJSC (the “Guarantor”) and Bank Otkritie Financial Corporation PJSC (the “Lender”) for the purposes of securing obligations of TikhvinСhemMash CJSC (the “Borrower”) to the Lender under Non-Revolving Credit Facility Agreement dated 25/05/2015 between the Borrower and the Lender.
• That the following related-party transaction be approved: Surety Agreement by and between Research and production corporation “United Wagon Company” PJSC (the “Guarantor”) and Bank Otkritie Financial Corporation PJSC (the “Lender”) for the purposes of securing obligations of TikhvinСhemMash CJSC (the “Borrower”) to the Lender under Non-Revolving Credit Facility Agreement dated 30/10/2015 between the Borrower and the Lender.
